Terms of Service

By accessing or using any product or service operated by ProStack NG Technologies ("ProStack NG", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

These terms apply to the ProStack NG website, AutoReport, ProTrackNG, ClubOps, our API, and any other product or service we provide.

ProStack NG provides software-as-a-service (SaaS) platforms, development services, consulting, training, and API access to businesses and individuals in Nigeria and internationally. Specific service terms (scope, pricing, deliverables, timelines) are agreed in writing before any engagement commences.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice. We will not be liable for any modification or discontinuation of a free-tier service.

Access to certain ProStack NG services requires an account or access token. You are responsible for maintaining the security of your credentials. You must not share your access token with unauthorised parties.

You must notify us immediately at hello@prostackng.com.ng if you suspect unauthorised use of your account.

We may suspend or terminate access where we have reason to believe these terms have been violated.

You agree not to:

• Use our services for any unlawful purpose or in violation of Nigerian law
• Attempt to gain unauthorised access to any system, database, or account
• Reverse engineer, decompile, or disassemble any ProStack NG software
• Transmit malware, spam, or any harmful code through our platforms
• Use our services to infringe the intellectual property rights of any third party
• Misrepresent your identity or affiliation when using our services
• Systematically scrape or harvest data from our platforms without written consent

All payments are processed in Nigerian Naira (NGN) via Paystack. Prices are stated inclusive or exclusive of VAT as noted at the point of sale.

Payments for digital services (SaaS subscriptions, API access, consulting retainers) are generally non-refundable once the service has commenced. Refund eligibility for specific services is determined at time of contract.

For build and development projects, payment terms (typically 50% upfront, 50% on delivery) are stated in the project agreement. Milestone payments are non-refundable once the corresponding milestone is delivered and accepted.

To dispute a payment, contact support@prostackng.com.ng within 7 days of the transaction.

All software, designs, content, and documentation created by ProStack NG is our intellectual property unless explicitly transferred in writing. Using our services does not grant you ownership of any ProStack NG intellectual property.

Custom software developed for you under a Build With Us agreement: ownership terms are specified in the project contract. Unless otherwise agreed, you receive a licence to use the delivered software; underlying frameworks, libraries, and reusable components remain our property.

White-label licences grant you the right to deploy and brand a ProStack NG platform for your clients. You do not acquire ownership of the underlying platform.

Data you submit to our platforms remains yours. We process it to deliver the service and as described in our Privacy Policy. We do not use your data for any purpose outside the agreed service without your consent.

Where a Non-Disclosure Agreement (NDA) has been signed, the terms of that NDA govern confidentiality obligations. In the absence of an NDA, both parties agree to treat non-public business information shared during an engagement as confidential for a period of 2 years.

Our services are provided "as is". We make no warranty that our services will be uninterrupted, error-free, or meet your specific requirements beyond what is stated in a signed service agreement.

To the maximum extent permitted by Nigerian law, ProStack NG's liability for any claim arising from use of our services is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

This limitation does not apply to liability arising from fraud, gross negligence, or personal injury.

These terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these terms will be subject to the exclusive jurisdiction of Nigerian courts. We will attempt to resolve disputes through good-faith negotiation before initiating legal proceedings.

We may update these terms from time to time. Material changes will be communicated with reasonable notice. Continued use of our services after the effective date of any change constitutes acceptance of the updated terms.
